General conditions

1. Sales agreements and arrangements regarding Terms and Conditions of Sale may vary; however, only agreements confirmed in writing shall be binding.

2. An order placed in writing shall be binding on the buyer.

3. All the prices indicated are exclusive of VAT.

4. The general payment deadline for the buyer or customer shall be 8 days of the date products are delivered, unless otherwise agreed in writing between the D Koolektiv d.o.o. company and the buyer or customer.

5. All products shall be the exclusive property of the D Koolektiv d.o.o. company until the buyer or customer pays the entire invoice.

6. The D Koolektiv d.o.o. company reserves the right not to accept an order if the buyer or customer fails to settle all of their previous liabilities.

7. If the buyer or customer fails to settle their liabilities and is in default, the D Koolektiv d.o.o. company shall be entitled to perform subsequent deliveries only if the buyer or customer performs a pre-payment. Every reminder sent shall be charged €5.00 inclusive of VAT.

8. The buyer or customer may take over the goods themselves at our address free-of-charge.

9. Delivery deadlines for products from our distributor/dealer programmes shall be subject to a mutual agreement between the customer and the D Koolektiv d.o.o. company as well as the stocks of the products in question at the time. The general delivery deadline for products from our distributor/dealer programmes shall be 1 week and an additional week for after-treatment (processing). In cases of force majeure and emergencies that have not arisen through the fault of the D Koolektiv d.o.o. company or cases when the D Koolektiv d.o.o. company has not received delivery of goods from its suppliers, which the company can prove, the delivery deadline shall be extended accordingly. If the delivery deadline is longer than two (2) months, the buyer or customer may cancel the order. The buyer or customer shall be entitled to compensation only if the fault can be attributed to the D Koolektiv d.o.o. company. The D Koolektiv d.o.o. company shall be obliged to inform the buyer or customer of an extension of the delivery deadline. If the D Koolektiv d.o.o. company is unable to deliver the goods, it shall be obliged to refund the money to a buyer or customer if the latter had made a pre-payment for said goods. The D Koolektiv d.o.o. company shall communicate the precise delivery deadline to the buyer or customer upon the confirmation of an order and after the design has been completed in case of after-treatment (processing).

10. Delivery deadlines for products from our own manufacture shall be subject to a mutual agreement between the customer and the D Koolektiv d.o.o. company. In cases of force majeure and emergencies that have not arisen through the fault of the D Koolektiv d.o.o. company or cases when the D Koolektiv d.o.o. company has not received delivery of intermediate goods from its suppliers or manufacturers, which the company can prove, the delivery deadline shall be extended accordingly. If the delivery deadline is longer than two (2) months, the buyer or customer may cancel the order. The buyer or customer shall be entitled to compensation only if the fault can be attributed to the D Koolektiv d.o.o. company. The D Koolektiv d.o.o. company shall be obliged to immediately inform the buyer or customer of an extension of the delivery deadline. If the D Koolektiv d.o.o. company is unable to deliver the goods, it shall be obliged to immediately refund the money to a buyer or customer if the latter had made a pre-payment for said goods. The D Koolektiv d.o.o. company shall communicate the precise delivery deadline to the buyer or customer upon the confirmation of an order and after the design has been completed in case of after-treatment (processing).

11. Unless specifically indicated, prices shall be exclusive of the costs of processing (after-treatment) (additional printing, embroidery, (un)packing, engraving, etc.). The prices of the above services shall be determined subsequently based on the buyer’s or customer’s specification.

12. The offer of products from our dealer/distributor programmes shall be subject to the industry-accepted deviations of +/-5%. If a buyer or customer wishes precise quantities, the prices in a quotation shall be increased by 5%. We cordially ask that the buyers or customers specifically indicate their wish to receive precise quantities, i.e. upon placing an order for the goods.

13. Minor defects that are common in the sale of products from dealer/distributor programmes such as variations in quality, colour, shape, weight and design and which are technically unavoidable, shall not represent a reasons for complaints/returns.

14. Inventories of products from dealer/distributor programmes change rapidly, which is why the stocks of inventories, which are limited, should be verified prior to placing an order. The D Koolektiv d.o.o. company shall communicate the possibility of filling the order upon reception of the order. If the company is out of stock, it shall do its best to find the best possible substitute for the buyer or customer.

 15. Products are packaged in simple packaging. At the request of the buyer or customer, the D Koolektiv d.o.o. company can offer or develop special gift packaging that shall be priced and charged separately.

 16. The D Koolektiv d.o.o. company offers gift wrapping services at the request of the buyers or customers that is priced and charged separately.

 17. No warranty is extended for promotional and other products from the dealer/distributor programmes. The buyer or customer and the D Koolektiv d.o.o. company shall find suitable forms of complaint resolution on a case-by-case basis so as to ensure long-term mutual cooperation.

 18. Products from dealer/distributor programmes, which include technical goods, are intended for sale to legal entities (companies, organisations and institutions) and for promotional purposes, which is why they contain neither instructions in Slovenian nor declarations, and neither is any warranty extended for them.

 19. The deadline for submitting complaints in regard to products from dealer/distributor programmes shall be a maximum of 8 days of the delivery of goods. In case of a return of goods, the D Koolektiv d.o.o. company provides no guarantee that the same item will be available as stocks of the item can run out in the meantime. The D Koolektiv d.o.o. company and the buyer or customer shall strive to find a substitute item.

20. If a buyer or customer wishes to perform after-treatment of the products themselves (additional printing, printing, embroidery, etc.), product return shall not be possible as there is a possibility of the products being damaged within the after-treatment process.

 21. The D Koolektiv d.o.o. company assumes no liability for the failure to deliver (non-delivery of) products resulting from force majeure (ship sinking, truck being involved in a traffic accident, etc.). Transport is insured and covers merely the cost price paid by the D Koolektiv d.o.o. company and not the liability for non-delivery.

 22. The general validity of quotations of the D Koolektiv d.o.o. company shall be 5 days, unless otherwise agreed in writing between the D Koolektiv d.o.o. company and the buyer or customer.

 23. The D Koolektiv d.o.o. company reserves the right to amend the General Terms and Conditions without a prior notice.
